Every entity you own
is a calendar of deadlines.

Miss an annual report and your LLC loses good standing. Let a franchise tax slip and penalties stack up. Forget a registered-agent renewal and you lose service-of-process coverage. Miss one permit and a lender won't close. These are the quiet costs of a portfolio nobody warns you about.

The real cost of missing a deadline

One entity is manageable.
Three is a spreadsheet problem.

The moment you hold a second LLC — or a trust, or a rental property with its own permits — the compliance calendar multiplies. Each entity has its own formation state, its own anniversary dates, its own registered agent, its own insurance policy. They don't share due dates. And they don't send reminders.

Annual Report Lapse
LLC loses good standing
Most states charge late fees ($50–$500+) and can administratively dissolve an entity that misses its annual report window. Reinstatement costs more and takes longer than staying current.
Franchise Tax Missed
Penalties that compound
Delaware franchise tax on an LLC is often small — but the late penalty and interest compound monthly. Texas and California have their own franchise structures with their own clocks.
Registered Agent Gap
Missed legal service
If a lawsuit is served while your registered agent is lapsed, you may not find out until a default judgment is entered. Insurers also look for current RA status during underwriting.
Insurance Lapse
Uncovered at the worst moment
Rental property insurance, professional liability, and umbrella policies all have renewal dates. A gap — even of one day — can void coverage for incidents that happen during the lapse.
Permit Expiration
Operations blocked mid-project
Business licenses, short-term rental permits, contractor licenses, and zoning variances all expire. Renewals often require 30–60 days lead time that nobody tracks.
Trust Admin Gap
Required actions forgotten
Trusts have their own required annual actions — trustee certifications, property titling checks, beneficiary notice windows. None of these show up in a state filing system.
What gets tracked

One calendar. Every
obligation, every entity.

We build a unified compliance calendar from your intake — one view across all your entities and properties, organized by due date. You get email reminders at 30, 14, and 3 days before each deadline, plus a prepared checklist telling you exactly what to have ready. You confirm the underlying facts; we track, organize, and remind.

Annual Reports
Secretary of State annual reports and biennial statements for every LLC, corporation, or LP — tracked by formation state and entity anniversary date.
Franchise Taxes
Delaware, Texas, California, Nevada, and other state franchise tax filings — each with their own calculation method, due dates, and late-fee structure.
Registered-Agent Renewals
Registered agent subscription renewals for every entity, in every state where you're formed or qualified to do business.
Insurance Renewals
General liability, professional liability, landlord, umbrella, and any other policy renewal dates — tracked per entity or property, with carrier and policy number.
Permits & Licenses
Business licenses, short-term rental permits, contractor licenses, zoning variances, and any jurisdiction-specific operating permits with expiration dates.
Trust Admin Reminders
Required trustee certifications, beneficiary notice windows, property re-titling checks, and any trust-specific administrative deadlines from your trust documents.
How it works

From intake to
reminders in one week.

  1. Choose your tier and check out
Your receipt email contains an intake spreadsheet template and instructions. Fill it in with your entity list, formation states, fiscal years, registered agents, insurance policies, and permits. You can also reply directly with a document you already have.
  2. We build your calendar from your intake
We look up the official filing rules for each entity's formation state (Secretary of State websites, official government sources only — no third-party summaries). We map every obligation to a due date and build your calendar. This takes up to 5 business days from completed intake.
  3. You confirm the underlying facts
We send you the draft calendar for your review. You confirm or correct the facts — your actual formation dates, your real fiscal year, whether a permit has already been renewed. Our job is to track and remind; the underlying facts are always yours to own.
  4. Reminders begin
30 days, 14 days, and 3 days before every deadline, a BOOJEE analyst sends you an email with the specific obligation, the filing entity and state, and a checklist of what to have ready. You — or your attorney or CPA — handle the actual filing. We track the calendar and send the reminders.
  5. Estate tier: quarterly human review
If you're on the Estate plan, a human reviews your full calendar every quarter, catches anything that has shifted (new entities, changed fiscal years, permit renewals received early), and sends a consolidated summary formatted for your CPA or attorney.
What this service is not: BOOJEE Compliance Calendar is deadline tracking and reminder infrastructure — not legal advice, not tax advice, and not filing service. We will not file anything on your behalf under this subscription. For entity formation, registered-agent setup, or hands-on renewal execution, see BOOJEE Entity or your attorney. When a deadline is flagged, acting on it is your responsibility.

Questions

Honest answers.

No. BOOJEE Compliance Calendar is deadline tracking and reminder infrastructure — not legal advice and not tax advice. We track obligation dates and remind you before they arrive. We do not advise you on whether a particular filing is required for your situation, what it should say, or what the legal consequences of missing it are. Those are questions for your attorney or CPA. When a reminder arrives, acting on it is your responsibility.
No. Under this subscription we track, organize, and remind — we do not submit filings, pay fees, or act as your registered agent. For hands-on annual report preparation, registered-agent service, or LLC formation, see BOOJEE Entity at /BOOJEE-entity/ or work directly with your attorney or CPA.
Your receipt email contains an intake spreadsheet template. We need: the legal name and formation state of each entity, the formation date or fiscal year end, the name and renewal date of your registered agent (if any), insurance policy numbers and renewal dates, permit types and expiration dates, and any trust documents that specify required annual actions. The more complete your intake, the more complete your calendar. If something is missing, we'll ask.
All 50 US states for standard Secretary of State filings — annual reports, biennial statements, franchise tax filings where they're administered by the SoS. Specialized local-jurisdiction permits (city business licenses, county-level requirements) are tracked based on information you provide in intake; we do not independently discover local permit requirements. Franchise taxes administered by a state's Department of Revenue (Texas, California) are tracked if you identify the entity as subject to them.
States occasionally move filing windows, suspend franchise tax obligations, or change annual report cycles. When a change is published by the official state source, we update your calendar and note the change. For Estate-tier subscribers, these shifts are caught and flagged in the quarterly review. For Core subscribers, email us at hello@BOOJEE.estate when a date changes and we'll update the calendar within 2 business days.
Both plans are standard Stripe month-to-month subscriptions — cancel anytime from your member dashboard and you will not be charged again. Your calendar access and reminder delivery stop at the end of the current billing period. We recommend exporting your deadline list before canceling.
Within 5 business days of the close of each calendar quarter (March 31, June 30, September 30, December 31) you receive an email with the consolidated summary as a PDF attachment. The summary lists every entity, every tracked obligation, its next due date, and current status — formatted for handoff to a CPA or attorney. A human reviews the calendar before each quarterly send and flags anything that has shifted.
The Estate plan covers up to 12 entities or properties. If you have a larger portfolio, reach out via /apply/?ref=compliance-calendar and describe your situation — we'll discuss a custom arrangement. Do not assume coverage beyond 12 entities without confirmation from us.
